Corporate and Commercial Law
Legal support for companies, shareholders and investors in Cyprus, from company formation and commercial agreements to ongoing administration, corporate changes and business negotiations.
Establishing a business with clear foundations
We help clients establish Cyprus companies and consider the legal arrangements needed for their intended activities. We discuss the proposed ownership, management and business objectives, prepare the relevant incorporation documents and identify matters requiring further professional or regulatory input.
Commercial contracts and negotiations
We draft and review commercial agreements with attention to the obligations, payment arrangements, allocation of risk and consequences of termination. Our work includes negotiations and advice on contractual issues that arise during an ongoing business relationship. We explain the terms that matter to your position before you commit.
Shareholders, governance and corporate changes
Clear arrangements between shareholders can help address decision-making, funding, transfers and disagreements. We advise on shareholders’ agreements, board and shareholder matters, changes in company ownership and reorganisations. Where interests differ, we examine the governing documents and the practical options available.
Ongoing company administration and legal support
Our firm assists with company administration, secretarial support and relevant statutory filings within the agreed scope of the engagement. We work with clients and their accountants where coordination is needed, and address legal questions as the business develops. Tax, accounting and specialist regulatory advice are identified separately where required.
Frequently asked questions
Can you help me form a Cyprus company?
Yes. We first discuss the intended business, ownership and management, then explain the documents, checks and legal work needed. Incorporation does not by itself provide permission for a regulated activity.
Do we need a shareholders’ agreement?
The appropriate arrangements depend on the company and its owners. An agreement can address management, funding, share transfers and the handling of disagreements. We review the intended relationship before recommending provisions.
Can you review a contract prepared by another party?
Yes. Send the draft and explain the transaction, your objectives and any negotiation deadline. We identify legal risks, suggest amendments and assist with negotiations where instructed.
Do your services include accounting and tax work?
The legal engagement and any accounting or tax engagement have separate scopes. We can coordinate with your professional advisers and identify when specialist input is needed.
Discuss a corporate matter
Contact our Limassol office to arrange an initial discussion. Please avoid sending sensitive documents before agreeing a suitable channel with our team. An enquiry does not by itself establish a lawyer–client relationship.
